Recurring: Earn on every renewal (unlimited duration)
Only from YOUR direct customer recommendations

2.2 TIER 2: Authorized Wellness Consultants (Medical Representatives/Agents)
Role: Onboard, train, and support pharmacies in the Happiness Prescription Program.
Who Can Become a Consultant:

Healthcare Professionals with understanding of pharmacy operations
Wellness Educators or Business Development professionals
Must be authorized by Yog24x7 - Not open to general public

Background verification

Your Responsibilities:

Negligent Onboarding Liability: You are responsible for verifying pharmacy legitimacy. If you onboard fraudulent or fake pharmacies, YOU are liable for any losses.
Quality Assurance: Ensure pharmacies make ethical recommendations and follow program guidelines.
Compliance Monitoring: Report any violations or suspicious activity immediately.
Training Support: Conduct initial orientation and ongoing refresher training for pharmacies.
What You CANNOT Do:

❌ Recruit or onboard other Consultants/MRs (no multi-level)
❌ Make medical claims or recommendations to end customers
❌ Misrepresent the program as employment or investment opportunity

Termination of Consultant Status:

If pharmacies you onboarded engage in fraud or serious violations
If you fail to perform due diligence during onboarding
If you violate program terms or company policies

For Both Pharmacies and Consultants:

❌ Compete with Yog24x7 or promote competing services

Negligent Onboarding = Your Liability: If you onboard a fake pharmacy that causes fraud/loss, YOU are held responsible.
12. TERM & EXIT PROCESS
12.1 Program Duration

12.2 Your Right to Exit (Pharmacy or Consultant)

Relationship governed solely by this agreement
No authority to:

Bind Company in contracts
Make commitments on Company's behalf
Represent Company in legal matters
Hire or fire anyone on Company's behalf
14.2 Your Representations & Warranties
By accepting this agreement, you confirm:
For Pharmacies:

βœ… Authority to enter this agreement
βœ… Compliance with all pharmacy laws
βœ… Accurate information provided (license, PAN, bank details)
βœ… Will make ethical, honest, customer-first recommendations
βœ… Will not make medical claims or interfere with medications
βœ… No conflict with other contractual obligations
For Consultants:

βœ… Capability to perform due diligence on pharmacy onboarding
βœ… Will physically verify pharmacies before approval
βœ… Will train pharmacies on ethical guidelines
βœ… No conflicts of interest
βœ… Professional integrity and ethical conduct
Breach of representation: If any representation proves false, Company may terminate immediately with forfeiture of all rewards.

14.3 Company's Representations & Warranties
We confirm:

❌ Customer satisfaction with services (we try our best)
❌ Uninterrupted service availability (tech issues happen)
❌ Any particular health results for customers
❌ Success or profitability of your participation
Services "As-Is":

No implied warranties
No guarantee of fitness for particular purpose
Platform may have bugs or downtime
Content accuracy not guaranteed 100%
14.4 Limitation of Liability
Maximum Company Liability:
Our total liability to you (Pharmacy or Consultant) under any circumstance whatsoever = Total rewards paid to you in the 3 months immediately preceding the claim
Example: If you've been paid β‚Ή8,000 total in last 3 months, our maximum liability to you = β‚Ή8,000 for ANY claim.
We are NOT liable for:

Lost income or opportunity costs
Consequential or indirect damages
Loss of business or reputation
Emotional distress
Punitive or exemplary damages
Third-party claims against you
Customer dissatisfaction or complaints
Force majeure events
Technology failures beyond our control
Government actions or regulatory changes
You use this program at your own business risk.
No liability for:

Pharmacy actions or recommendations (Pharmacy liable)
Consultant negligence in verification (Consultant liable)
Customer health outcomes
Customer subscription dissatisfaction

Internet/telecom disruptions
14.5 Indemnification (You Protect Us)
You agree to indemnify, defend, and hold harmless Panpaliya Technologies Pvt Ltd, its directors, employees, and agents from:
Any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
For Pharmacies:

Your breach of this agreement
Your unauthorized medical claims to customers
Your advice causing customer harm
Your violations of pharmacy laws or regulations
Your ethical or professional misconduct
Customer complaints due to your actions
Breach of customer privacy or confidentiality
Your fraudulent activities
For Consultants:

Your negligent onboarding of fake/fraudulent pharmacies
Your failure to verify pharmacy legitimacy
Losses caused by pharmacies you failed to properly vet
Your breach of confidentiality
Your conflicts of interest
Your misrepresentation of program to pharmacies
Example scenario: Customer sues Company because Pharmacy told them "Yoga cures cancer, stop chemotherapy." Pharmacy must defend Company and cover all legal costs + damages.
This survives termination - your indemnification obligation continues even after partnership ends.

14.6 Company Indemnifies You (We Protect You)
We agree to indemnify you from claims arising from:

Our defective services to customers you referred
Our data breaches or privacy violations
Our breach of this agreement
Our misuse of customer information
Our negligence in service delivery
Example: Customer sues you because Yog24x7 instructor gave them bad advice during class. We defend you and cover costs (if you followed our guidelines properly).

14.7 Intellectual Property
Yog24x7 Brand = Our Property:

Trademarks, logos, brand name, content
You receive limited license to use approved materials only
Cannot modify, alter, or create derivatives
Cannot register domains/social handles with our brand name
License terminates upon exit/termination
Your Pharmacy Brand = Your Property:

We won't misuse your pharmacy name/logo
May mention you as partner (with your consent)
Will remove upon request after termination
14.8 Confidentiality
Both parties agree to keep confidential:

Reward amounts and payment details
Business terms and agreement specifics
Customer/pharmacy data and information
Proprietary business strategies
Financial information
Confidentiality survives termination - continues indefinitely.
Exceptions (permitted disclosure):

Legal requirements (court orders, tax authorities)
Professional advisors under confidentiality (CA, lawyer)
With written consent from other party
14.9 Force Majeure
Neither party liable for failure to perform due to circumstances beyond reasonable control:

Natural disasters (earthquake, flood, cyclone)
Pandemic or epidemic
War, terrorism, civil unrest
Government orders or regulatory actions
Internet/telecommunications nationwide outages
Power grid failures
Cyber attacks beyond reasonable security measures

Transfer this agreement to anyone else

Transfer pending rewards to another person
Have someone else operate under your codes
COMPANY may:

Assign to successor companies (merger/acquisition)
Transfer program to affiliated entities
Your rewards and terms honored in such transfer
