1.1 Our Mission

"Transforming pharmacies into wellness sanctuaries by prescribing happiness, one wellness journey at a time."

Disclaimer: The term "Happiness Prescription" is a registered brand concept of Yog24x7. It is used in a metaphorical and branding sense to denote a recommendation for holistic wellness. It does NOT constitute a medical prescription under the Drugs and Cosmetics Act, 1940, and does not replace the advice of a registered medical practitioner.

The Happiness Prescription Partner Program is a B2B (Business-to-Business) wellness distribution initiative designed to integrate yoga and holistic wellness into the healthcare ecosystem.

We partner with pharmacies to recommend Yoga as a proactive lifestyle supplement that complements medical treatment.

1.2 What This Program Is

  • Professional Referral Network - Pharmacies recommend wellness services to customers
  • Sales Representative Model - Program Managers onboard and support pharmacies
  • B2B Partnership - Business collaboration, not consumer recruitment
  • Legitimate Wellness Distribution - Real service with real value

1.3 What This Program Is NOT

  • NOT Multi-Level Marketing (MLM) - No pharmacy-to-pharmacy recruitment
  • NOT a Pyramid Scheme - No endless chain recruitment
  • NOT an Employment - Independent partnership only
  • NOT an Investment Scheme - No joining fees or investment required

2. TWO-TIER PROFESSIONAL STRUCTURE

2.1 TIER 1: Wellness Partners (Pharmacies)

Role:

Recommend Yog24x7 wellness services to customers visiting your pharmacy.

Who Can Join:

  • Licensed pharmacies (physical or online)
  • Valid Drug License mandatory
  • Located anywhere in India

What You Do:

  • Share 14-day free trial links with interested customers
  • Recommend yoga as a lifestyle supplement
  • Provide brochures and information (optional)

What You Earn:

  • 10% Partnership Appreciation on every paid subscription
  • Recurring: Earn on every renewal (unlimited duration)
  • Only from YOUR direct customer recommendations

What You CANNOT Do:

  • Recruit or onboard other pharmacies
  • Receive commission from other pharmacies

Key Point: Pharmacies focus ONLY on customer wellness, not pharmacy recruitment. This ensures the program remains customer-centric and legally compliant.

2.2 TIER 2: Authorized Wellness Affiliates (Program Managers)

Role:

Onboard, train, and support Pharmacies in the Happiness Prescription Program.

Who Can Join:

  • Professional Affiliates and Digital Marketers
  • Healthcare Professionals or Business Consultants
  • Independent Sales Agents with a track record in B2B networking

Note: This tier is by invitation or application only and is not open to the general public to ensure high-quality pharmacy onboarding.

3. PARTNERSHIP REWARDS FRAMEWORK (COMMISSION STRUCTURE)

3.1 Subscription Plans & Pharmacy Rewards

Yog24x7 offers four subscription plans (prices subject to change):

3.2 When Rewards Are Generated

The 14-Day Free Trial Rule (CRITICAL):

Every customer who uses your referral code receives a 14-day completely free trial of Yog24x7 services.

Rewards are ONLY generated when:

  • Customer completes the 14-day free trial period
  • Customer's payment is successfully processed (post-trial)
  • Customer does not cancel during or after trial

During Trial Period:

  • No rewards generated
  • Customer can cancel anytime (no charge)
  • If customer doesn't convert to paid → No reward

After Trial Period:

  • Customer charged for chosen subscription plan
  • Payment successful → Reward credited to your account immediately
  • Reward becomes permanent (protected by our no-refund policy)

Example Timeline:

  • Day 1: Customer signs up using your code → Starts 14-day free trial
  • Day 1-14: Customer uses service for free
  • Day 14: Trial ends

Scenario A: Customer converts to paid

  • Day 15: Payment processed (₹1,799 for 3-month plan)
  • Day 15: Your reward credited (₹179.90)

Scenario B: Customer cancels during trial

  • Day 10: Customer cancels
  • No payment, no reward

Scenario C: Customer doesn't cancel but payment fails

  • Day 15: Payment fails (card declined)
  • No reward until payment succeeds

3.3 Recurring Rewards (Unlimited)

Every time customer renews, you earn again:

  • Customer's 3-month plan ends → They renew for another 3 months
  • You earn 10% again (₹179.90)

Duration: Unlimited - as long as customer stays subscribed

Company reserves right to modify this with 30 days notice

Plan Changes:

  • Customer upgrades (1-month → 12-month): You earn 10% on new plan (₹379.90)
  • Customer downgrades (12-month → 1-month): You earn 10% on new plan (₹79.90)

Each renewal/change = fresh reward

3.4 Consultant Mentorship Fees

Consultants earn 10% of pharmacy's TOTAL paid rewards:

Calculation:

  • Pharmacy earns ₹3,000 this month (from customer subscriptions)
  • Pharmacy crosses ₹2,500 threshold → Gets paid ₹3,000
  • Consultant earns: 10% of ₹3,000 = ₹300

What "total earnings" includes:

  • All customer subscription rewards earned by pharmacy
  • All recurring renewal rewards
  • All plan upgrades/changes
  • Everything the pharmacy earns from direct customer recommendations

What it does NOT include:

  • Free trial signups (no payment = no reward)
  • Failed payments
  • Cancelled subscriptions
  • Refunds (rare exceptions)

Consultant Milestone:

  • Consultants also have ₹2,500 minimum payout threshold
  • Accumulates from all pharmacies they manage
  • Paid monthly when threshold crossed

4. THE 14-DAY FREE TRIAL RULE (DETAILED)

4.1 Purpose of Free Trial

Customer Protection:

  • Try before you buy - no financial risk
  • Experience real yoga classes
  • Decide if it suits their lifestyle
  • Cancel anytime during trial (no charge)

Quality Assurance:

  • Only satisfied customers convert to paid
  • Reduces refund requests (almost none)
  • Protects partner rewards (no chargebacks)
  • Filters out non-serious customers

4.2 Free Trial Mechanics

What Customer Gets:

  • Full access to Yog24x7 services for 14 days
  • Live classes, recorded sessions, community access
  • No credit card required upfront (may vary)
  • No obligation to continue

What Happens at Day 14:

  • Customer prompted to choose paid plan or cancel
  • If customer takes no action → Auto-cancellation (no charge)
  • If customer selects plan → Payment processed → Subscription starts
  • Only then pharmacy earns reward

4.3 Why This Protects You

No-Refund Policy Strength:

  • Customer had 14 days to evaluate
  • If they paid, they were satisfied
  • Refund requests extremely rare (only service failures)
  • Your rewards are safe and non-reversible

Chargeback Protection:

  • Banks unlikely to approve chargebacks after free trial
  • Customer had full opportunity to cancel
  • Fraudulent chargebacks reduced to near zero

  • Don't worry about customer dissatisfaction

5. ELIGIBILITY & VERIFICATION

5.1 For Pharmacies (Tier 1)

Mandatory Requirements:

  • Valid Drug License (currently active, not expired)
  • PAN Card (for TDS compliance)
  • Pharmacy name must match Drug License
  • Owner/Pharmacist name must match bank account
  • Physical store OR legitimate online pharmacy
  • Located in India

Optional (Recommended):

  • GST registration (affects tax calculation)
  • Store photographs
  • Previous wellness program participation

Verification Process:

Step 1: Pharmacy Fills Application Form
  • Online form on website OR
  • Agent/Consultant helps fill the form in person
  • Provides all required documents
Step 2: Agent/Consultant Initial Verification
  • Agent visits pharmacy physically (for offline stores)
  • Verifies Drug License visually
  • Takes store photographs
  • Confirms pharmacy legitimacy and existence
  • Helps paste promotional posters/brochures in store (optional)
  • Provides initial training on how to recommend (15-30 mins)
  • Submits application to Company backend
Step 3: Company Backend Team Verification (7 Days)

Our backend team independently verifies:

  • Drug License validity via online State Drug Controller database
  • Name matching (License vs Bank Account)
  • PAN validity check
  • GST verification (if provided)
  • Cross-check documents against Agent's submission
  • Duplicate check (ensure not already registered)
  • Review store photos and details
Step 4: Approval or Rejection
  • If Approved: Pharmacy receives unique codes via WhatsApp/Email
  • If Rejected: Reason provided, can resubmit with corrections
  • If Suspicious: Further investigation, may contact pharmacy directly

Agent Responsibility:

  • Agent must perform genuine physical verification
  • Agent is liable if they submit fake/fraudulent pharmacy
  • Agent's commission dependent on pharmacy quality
  • Negligent verification = Agent termination

Company Safeguard:

  • Final approval ALWAYS with Company backend team
  • Agent cannot independently approve
  • Protects against fraud and ensures quality
  • Maintains program integrity

Right of Refusal:

Company reserves absolute right to reject any application

Reasons: Expired license, mismatched documents, fraudulent info, bad reputation, suspicious activity

No explanation required (though usually provided)

Rejected applicants may reapply with correct information

5.2 For Consultants/MRs (Tier 2)

Eligibility Criteria:

  • Healthcare industry experience (preferred but not mandatory)
  • Medical Representative background (strongly preferred)
  • Understanding of pharmacy operations
  • Good communication and training skills
  • Ability to travel and conduct field visits
  • Professional ethics and integrity

  • Include: Resume, ID proof, experience details
  • Interview: Phone/video interview with management
  • Background Check: References, previous employment
  • Training: Online orientation on program guidelines

  • Territory Assignment: Assigned region (if applicable)

Responsibilities Post-Appointment:

  • Maintain professional conduct
  • Perform due diligence on all pharmacy onboardings
  • Submit monthly reports on pharmacy performance
  • Attend quarterly training/review meetings
  • Comply with all program terms

Performance Metrics:

  • Number of quality pharmacy onboardings
  • Pharmacy activation rate (pharmacies actually referring customers)
  • Compliance rate (pharmacies following ethical guidelines)
  • Customer satisfaction from referred pharmacies

Termination Grounds:

  • Negligent onboarding (fake/fraudulent pharmacies)
  • Ethical violations
  • Misrepresentation of program
  • Poor performance (consistently low quality)
  • Conflict of interest
  • Violation of any program terms

6. HOW TO GET STARTED

6.1 For Pharmacies

7. CUSTOMER INTERACTION GUIDELINES (THE SAFETY SHIELD)

THIS SECTION IS CRITICAL FOR LEGAL PROTECTION

7.1 The Recommendation Rule

You are an independent partner recommending a lifestyle service.

You are NOT:

  • A doctor or medical professional (unless you are)
  • A yoga therapist or certified instructor
  • Authorized to give medical advice
  • Representing Yog24x7 as employee

You ARE:

  • A wellness advocate
  • Sharing information about a beneficial service
  • Recommending a lifestyle supplement
  • Providing customers an option to explore

7.2 STRICT PROHIBITIONS (Immediate Termination if Violated)

YOU MUST NOT:

Medical Claims (NEVER SAY THESE):

  • "Yoga cures diabetes"
  • "This will treat your hypertension"
  • "Yoga reverses heart disease"
  • "You can stop your medication after doing yoga"
  • "This is better than your doctor's treatment"
  • "Guaranteed health improvements"
  • Any claim that yoga treats, cures, or replaces medical care

Medication Interference:

  • "Reduce your medicine dosage and try yoga"
  • "You don't need that tablet if you do yoga daily"
  • "Stop taking these pills, yoga is natural"
  • Any advice to alter prescribed medication

Coercion:

  • Forcing customer to sign up
  • Making customer feel obligated
  • Aggressive or repeated pressure
  • Withholding pharmacy services unless they subscribe

Why These Are Prohibited:

  • Legal Risk: Making medical claims without license = illegal practice of medicine
  • Ethical Violation: Dangerous to patient health
  • Liability: You AND Company can be sued
  • License Risk: Pharmacy license can be revoked
  • Criminal Charges: Potential under medical negligence laws

7.3 APPROVED LANGUAGE (Always Use These Phrases)

Safe Recommendations:

  • "Many people find yoga helpful for general wellbeing and stress"
  • "You can try the 14-day free trial to see if it suits you"
  • "Yoga is a complementary practice that supports overall health"

  • "Always continue your doctor's prescribed treatment"
  • "This is not a replacement for medical care"

Sample Conversation:

Customer: "I have diabetes and joint pain. Will this help?"

CORRECT Response:

"Yoga is a wonderful lifestyle practice that many people with diabetes find beneficial for stress management and gentle movement. However, please continue all your prescribed medications and doctor's advice. Why don't you try our 14-day free trial to see if it helps your general wellbeing? It's completely free and you can cancel anytime."

WRONG Response:

"Yes! Yoga cures diabetes. Do this daily and you can reduce your insulin dosage. Many people have reversed their condition."

7.4 Positioning Your Recommendation

Frame it as:

  • Lifestyle enhancement
  • Stress management tool
  • Fitness and flexibility support
  • Mental wellness practice
  • Complementary to medical treatment

NEVER frame as:

  • Medical treatment
  • Disease cure
  • Medication alternative
  • Doctor-approved therapy (unless specifically approved)

7.5 Customer Privacy

You MUST:

  • Only share free trial link with customers who show interest
  • Respect their decision (yes or no)
  • Keep their health information confidential
  • Not share their contact details with anyone

You MUST NOT:

  • Share customer medical history with Yog24x7
  • Discuss customer health conditions publicly
  • Spam or repeatedly contact unwilling customers
  • Sell or share customer data

7.6 Consequences of Violations

What's a "Serious Violation":

  • Customer filed complaint about medical claims
  • Customer stopped prescribed medication due to your advice
  • Customer suffered health harm due to your recommendations
  • Systematic pattern of unethical behavior
  • Fraud or intentional deception

7.7 Anti-Inducement Rule

Pharmacies must not offer "discounts" on medicines or pharmaceutical products as a reward for a customer subscribing to Yog24x7. The recommendation must be independent of the sale of scheduled drugs to ensure compliance with Pharmacy Council ethical standards.

8. REWARDS CALCULATION & PAYMENT

8.1 Minimum Payout Milestone

For Both Pharmacies and Consultants:

The ₹2,500 Threshold:

  • Rewards accumulate monthly
  • Payment triggered when total reaches ₹2,500 or more
  • No time limit - accumulates indefinitely until threshold
  • No expiry or forfeiture (unless you exit/are terminated)

Why ₹2,500 (not ₹10,000)?

  • Lower barrier encourages participation
  • Faster payouts motivate partners
  • Easier for smaller pharmacies to reach
  • Still sufficient to minimize transaction costs

8.2 Payment Schedule

Monthly Cycle:

  • Calculation period: 1st to last day of month
  • Statement generated: By 5th of following month
  • Payment processed: Within 15 working days of month-end (if threshold met)

Example:

  • December 2025 earnings: ₹3,200
  • Previous balance: ₹1,800
  • Total: ₹5,000 (crosses ₹2,500 threshold)
  • Statement sent: January 5, 2026
  • Payment processed: By January 15, 2026
  • Credited to bank: January 16-18, 2026 (depending on bank)

8.3 Payment Methods

Primary: Bank Transfer (NEFT/IMPS/RTGS)

  • To your registered bank account
  • 1-2 working days
  • No charges

Alternative: UPI

  • Instant credit
  • Provide UPI ID during registration
  • Preferred for speed

We DO NOT pay via:

  • Cash
  • Cheques
  • Third-party accounts
  • PayTM Wallet or other wallets
  • International transfers

8.4 Below Threshold

If monthly total is below ₹2,500:

  • Rewards carried forward to next month
  • Continues accumulating
  • Visible in monthly WhatsApp report
  • Keep earning until threshold reached

Example:

  • Month 1: ₹800 → Carried forward
  • Month 2: ₹900 → Total ₹1,700 → Carried forward
  • Month 3: ₹1,200 → Total ₹2,900 → PAYMENT! ₹2,900

8.5 Consultant Payment Calculation

Based on pharmacy payouts:

Consultant manages 5 pharmacies:

Month: January 2026

  • Pharmacy A: Earned ₹3,500 → Crossed ₹2,500 → PAID → Consultant earns: 10% of ₹3,500 = ₹350
  • Pharmacy B: Earned ₹1,800 → Below threshold → NOT paid yet → Consultant earns: ₹0 (will earn when B crosses threshold)
  • Pharmacy C: Earned ₹4,200 → Crossed ₹2,500 → PAID → Consultant earns: 10% of ₹4,200 = ₹420
  • Pharmacy D: Earned ₹800 → Below threshold → NOT paid → Consultant earns: ₹0
  • Pharmacy E: Earned ₹2,600 → Crossed ₹2,500 → PAID → Consultant earns: 10% of ₹2,600 = ₹260

CONSULTANT TOTAL FOR JANUARY: ₹1,030

Previous Consultant balance: ₹1,500

New total: ₹2,530 → Crosses ₹2,500 → PAYMENT!

9. TAX COMPLIANCE (GST & TDS)

9.1 Understanding Taxation

Partnership rewards = Taxable income under Indian law

Two taxes apply:

  • TDS (Tax Deducted at Source) - Income Tax
  • GST (Goods & Services Tax) - Service Tax

You must comply - non-negotiable.

9.2 TDS (Tax Deducted at Source)

Rate: 10% mandatory deduction

Applied under Section 194H of Income Tax Act, 1961 (Commission payments)

Always deducted:

  • From every payout
  • Regardless of amount
  • No threshold wait

Example:

  • Your accumulated rewards: ₹3,000
  • TDS @ 10%: ₹300
  • Net paid to you: ₹2,700

TDS Certificate (Form 16A):

  • Issued quarterly
  • Sent via email
  • Shows total rewards paid and TDS deducted
  • Use when filing Income Tax Returns

Your obligation:

  • Declare partnership reward income in ITR
  • TDS already deducted = advance tax payment
  • Reduces your final tax liability
  • Consult CA for proper filing

9.3 GST (Goods & Services Tax)

Rate: 18% on referral services

Two scenarios based on your GST registration:

SCENARIO A: You ARE GST-Registered

You must raise tax invoice to us:

Example: ₹3,000 reward

  • Base amount: ₹2,542.37
  • Add GST @ 18%: ₹457.63
  • Total Invoice: ₹3,000.00

We pay you: ₹3,000

Then deduct TDS @ 10% on base (₹2,542.37): ₹254.24

Net you receive: ₹2,745.76

Your responsibility:

  • Pay ₹457.63 GST to government
  • File GST returns quarterly
  • Net in hand: ₹2,745.76 - ₹457.63 = ₹2,288.13
  • Effective rate: ~76.3% of gross reward

SCENARIO B: You are NOT GST-Registered

We handle GST under Reverse Charge Mechanism (RCM)

To stay within budget, we adjust payment:

Our budget: ₹3,000 total

  • We pay you (base): ₹2,542.37
  • We pay RCM GST separately: ₹457.63 (to government)
  • Our total cost: ₹3,000

Then we deduct TDS:

TDS @ 10% on ₹2,542.37 = ₹254.24

Net you receive: ₹2,288.13

Effective rate: Same ~76.3% as GST-registered partners

Why WhatsApp:

  • Fast, instant communication
  • Widely used in India
  • Easy file/document sharing
  • Voice note support
  • Better than email for quick updates

Your WhatsApp number:

  • Must be active and monitored regularly
  • Used during application (mandatory)
  • All official communications sent here

10.2 Secondary Communication: Email

Email is reserved for:

  • Legal notices and formal communications
  • Tax documents (TDS certificates, invoices)
  • Exit requests (ONLY via email accepted)
  • Dispute resolution escalations
  • Detailed policy documents

Exit requests: MUST be via email only (support@yog24x7.in) - WhatsApp exits NOT accepted for legal record-keeping.

10.3 What Information is Shared (Privacy Compliance)

You WILL see (Anonymous, Aggregate):

  • Number of customers/free trials
  • Conversion rates
  • Total reward amounts
  • Number of active pharmacies (for Consultants)
  • Payment status and dates

You WILL NOT see (Complete Privacy):

  • Customer names, emails, phone numbers
  • Customer addresses or personal details
  • Pharmacy names (for other consultants)
  • Any personally identifiable information
  • Medical or health information

Why complete anonymity:

  • DPDP Act 2023 compliance
  • Customer privacy protection
  • Focus on impact, not tracking individuals
  • Maintains trust and ethical standards

10.4 Dispute Resolution

If you disagree with monthly report:

Timeline: Within 15 days of report receipt

WhatsApp reply: "I have a dispute regarding [specific issue]"

Or email: support@yog24x7.in with subject "Reward Dispute"

We will:

  • Acknowledge within 48 hours
  • Investigate within 7 working days
  • Provide detailed explanation with proof
  • Correct if genuine error found
  • Add adjustment to next month

Common issues:

  • Customer used code but not counted → May still be in trial period
  • Payment shown but reward not credited → Check if payment actually succeeded

11. PROHIBITED ACTIVITIES

11.1 Misrepresentation (Immediate Termination)

YOU MUST NOT advertise or present this program as:

"Job" or "Employment"

  • "Join Yog24x7 and get salary"
  • "Work from home - fixed income"
  • "Guaranteed monthly salary of ₹XX,XXX"

"Investment Scheme"

  • "Invest in wellness - get returns"
  • "Business opportunity with guaranteed ROI"
  • "Multi-level passive income system"

"MLM" or "Network Marketing"

Even though structure has 2 tiers, DON'T use these terms publicly

Attracts wrong crowd and regulatory scrutiny

Frame as "Pharmacy Partnership Program" or "Wellness Distribution"

Correct positioning:

  • "Pharmacy wellness partnership"
  • "Referral rewards program"
  • "Healthcare collaboration"
  • "Lifestyle supplement distribution"

11.2 Fraud & System Manipulation (Termination + Legal Action)

Strictly Prohibited:

Fake Customers:

  • Creating fake customer accounts
  • Using family members' emails repeatedly
  • Same person signing up with multiple emails
  • Bots or automation to generate signups

Payment Fraud:

  • Using stolen credit/debit cards
  • Creating fake payment confirmations
  • Colluding with customers (earn commission → they chargeback)
  • Gaming the 14-day free trial system

Document Fraud:

  • Fake Drug License (Consultants: you're liable!)
  • Expired or invalid licenses
  • Forged documents
  • Identity misrepresentation

Code Abuse:

  • Sharing referral code on public coupon/deal sites
  • Posting codes in spam groups
  • Creating multiple accounts to refer yourself
  • Selling or transferring referral codes

We actively monitor:

  • Same IP address for multiple customers
  • Same payment method across accounts
  • Unusual geographic patterns
  • Rapid signups followed by cancellations
  • Suspicious timing (all signups at odd hours)
  • Payment fraud patterns

Consequences:

  • Immediate suspension during investigation
  • Permanent termination if confirmed
  • Forfeiture of ALL rewards (including already paid - we'll recover)
  • Legal action and FIR for criminal fraud
  • Consultant liability if pharmacy you onboarded was fake
  • Ban from all future participation

11.3 Spam & Harassment

Prohibited:

  • Sending unsolicited WhatsApp messages to random people
  • Calling customers repeatedly who said "no"
  • Harassing or pressuring anyone
  • Spamming email lists
  • Posting in unrelated social media groups

Allowed:

  • Sharing with customers who visit your pharmacy
  • Mentioning to people who show interest in wellness
  • Posting on your own pharmacy's social media page
  • Including in customer order packaging (optional)

12. TERM & EXIT PROCESS

12.1 Program Duration

Partnership continues until either party terminates

No automatic expiration

No mandatory renewal

Company may request Drug License re-verification annually

12.2 Your Right to Exit

You can exit anytime voluntarily.

How to exit:

  • Email ONLY: support@yog24x7.in
  • Subject: "EXIT - Happiness Prescription Program"
  • Include: Your Partner Code / Consultant ID, Registered Mobile, Reason (optional)

NOT accepted: WhatsApp, phone call, verbal request

Confirmation: Email acknowledgment within 48 hours

Effect of exit:

  • Referral codes deactivated within 48 hours
  • No new customers can use your code (Pharmacy)
  • No new pharmacies can be onboarded (Consultant)
  • Existing customer renewals: You STOP earning after exit date
  • Managed pharmacies continue independently (Consultant)

Pending rewards:

  • If accumulated ≥₹2,500: Paid within 30 days of exit
  • If below ₹2,500: Generally forfeited
  • Exception requests: Email with explanation - decided case-by-case at Company's discretion

12.3 Company's Right to Terminate

We may terminate your partnership if:

  • You violate any terms of this agreement
  • Fraud, unethical behavior, or system manipulation
  • Your Drug License expires or is suspended/revoked
  • Repeated customer complaints
  • Making medical claims or dangerous recommendations
  • Breach of confidentiality or privacy
  • Damage to brand reputation
  • Non-compliance with laws or regulations
  • Negligent onboarding by Consultant

Effect of Company termination:

  • Codes deactivated immediately
  • No future earnings
  • Pending rewards ≥₹2,500: Paid within 30 days (unless fraud)
  • Below ₹2,500: Forfeited
  • If fraud: ALL rewards forfeited + recovery of already-paid amounts + legal action

12.4 Mandatory Cooling-off Period

In accordance with the Consumer Protection (Direct Selling) Rules, 2021, all Partners and Affiliates have a 30-day Cooling-off Period from the date of digital acceptance. During this period, you may terminate this agreement for any reason by emailing support@yog24x7.in. Since there are no joining fees, no refunds are applicable, but all data sharing will cease immediately upon such termination.

13. COMPANY RIGHTS & MODIFICATIONS

13.1 Right to Modify Any Terms

Company reserves the right to change:

  • Partnership reward percentages (currently 10% + 10%)
  • Minimum payout threshold (currently ₹2,500)
  • Subscription plan prices
  • Free trial duration (currently 14 days)
  • Recurring reward duration (currently unlimited)
  • Consultant eligibility criteria
  • Territory assignments
  • Any provision of this agreement

How changes are made:

  • 30 days advance written notice via email/WhatsApp
  • Clear explanation of what's changing and why
  • Effective date specified
  • Except: Emergency legal compliance (immediate)

Your options:

  • Accept new terms (continue partnership)
  • Exit before changes take effect
  • Pending rewards ≥₹2,500 paid even if you exit

13.2 Right to Suspend or Terminate Entire Program

Company may suspend or end the Happiness Prescription Program completely.

Notice:

  • 30 days advance notice where possible
  • Immediate suspension if legally mandated

Your pending rewards:

  • ≥₹2,500: Paid within 30 days
  • <₹2,500: May be paid or forfeited (case-by-case)

14. LEGAL TERMS & PROTECTION

14.1 Independent Business Relationship

YOU ARE:

  • Independent pharmacy business (Tier 1) OR
  • Independent agent/consultant (Tier 2)
  • Running your own operations
  • Voluntarily participating in partnership

YOU ARE NOT:

  • Employee of Yog24x7 or Panpaliya Technologies
  • Agent with authority to bind the Company
  • Partner in legal firm sense
  • Franchise owner

14.2 Limitation of Liability

Maximum Company Liability:

Our total liability to you = Total rewards paid to you in the 3 months immediately preceding the claim

We are NOT liable for:

  • Lost income or opportunity costs
  • Consequential or indirect damages
  • Loss of business or reputation
  • Third-party claims against you
  • Customer health outcomes
  • Force majeure events

14.3 Indemnification

You agree to protect us from claims arising from:

  • Your breach of this agreement
  • Your unauthorized medical claims to customers
  • Your advice causing customer harm
  • Your violations of pharmacy laws
  • Your fraudulent activities
  • (Consultants) Your negligent onboarding of fake pharmacies

15. DISPUTE RESOLUTION & JURISDICTION

15.1 Step 1: Good Faith Discussion (Mandatory)

Include: Partner Code, Issue Details

We will:

  • Acknowledge within 48 hours
  • Investigate within 7 working days
  • Propose solution or explanation

15.2 Step 2: Escalation

Request escalation to senior management if unresolved

15.3 Step 3: Arbitration

Disputes referred to arbitration under Arbitration Act, 1996:

  • Single arbitrator mutually appointed
  • Seat of arbitration: Desaiganj (Wadsa), Maharashtra
  • Language: English
  • Decision final and binding

15.4 Governing Law

This agreement governed exclusively by Laws of India

15.5 Exclusive Jurisdiction

ALL legal proceedings shall be subject EXCLUSIVELY to:

Courts at Desaiganj (Wadsa), District Gadchiroli, Maharashtra – 441207, India

What this means:

  • You CANNOT file suit in your local city/state
  • Even if inconvenient to you, jurisdiction is Wadsa only
  • By accepting this agreement, you explicitly consent

16. ACCEPTANCE & AGREEMENT

16.1 How to Accept This Agreement

Digital Acceptance (Legally Binding):

Method: Online Application Form

  • Complete pharmacy/consultant application
  • Read this complete T&C document
  • Check mandatory checkbox confirming acceptance
  • Click "I Agree & Submit"
  • Receive confirmation email

Legal Validity: Under Information Technology Act, 2000, your digital acceptance = legally enforceable contract equivalent to physical signature.

16.2 Confirmation Checklist

Before accepting, confirm you understand:

  • This is a B2B wellness distribution partnership, not employment
  • Pharmacies focus ONLY on customer recommendations (no pharmacy recruitment)
  • Only Authorized Consultants/MRs can onboard pharmacies
  • Every customer gets 14-day free trial - rewards generated only after payment
  • Gross rate is 10%, effective net rate ~7.6% after GST/TDS
  • Minimum payout ₹2,500
  • Rewards accumulate indefinitely until threshold
  • TDS 10% and GST 18% are mandatory per Indian law
  • I will NEVER make medical claims or interfere with medications
  • I will recommend yoga only as lifestyle supplement, not medical treatment
  • Program terms may change with 30 days notice
  • Company has right to modify/terminate program
  • All legal disputes subject to Wadsa, Gadchiroli jurisdiction
  • I'm independent contractor, not employee
  • No guaranteed income - depends on my efforts
  • (For Consultants) I'll physically verify all pharmacies before onboarding
  • (For Consultants) I'm liable for negligent onboarding
